Terms of Service
The rules of the road. Clear, fair, and no surprises.

1. Acceptance of Terms
By accessing or using Spendpol (the "Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.
We may update these terms from time to time. Material changes will be communicated via email and dashboard notification at least 30 days in advance.
2. Service Description
Spendpol provides AI spending governance including cost tracking, budget enforcement, policy management, compliance logging, runtime protection, and agent fleet oversight.
The Service operates as a proxy layer between your applications and AI providers (OpenAI, Anthropic, Google, etc.). We route, monitor, and enforce policies on API calls but do not modify the underlying AI model behavior.
Service availability targets: 99.9% uptime for cloud-hosted customers. Self-hosted deployments are managed by your infrastructure team.
3. Accounts & Access
You must provide accurate and complete information when creating an account. Each organization receives a single tenant with Row Level Security isolation.
You are responsible for maintaining the security of your account credentials, API keys, and access tokens. Notify us immediately at security@spendpol.com if you suspect unauthorized access.
Account roles (admin, member, viewer) control access within your organization. The account creator is the initial admin.
4. Plans & Pricing
Free plan: Up to $5,000/month AI spend tracking, 2 team members, 30-day audit retention. No credit card required.
Pro plan ($499/month): Up to $100,000/month AI spend tracking, unlimited team members, 1-year audit retention, advanced features including chargeback engine and integrations.
Enterprise plan (from $2,499/month): Unlimited AI spend tracking, custom retention, SSO/SAML, on-premise deployment, SLA guarantees, dedicated support.
Plan limits are enforced at the proxy level. Exceeding your plan's AI spend limit will result in a notification to upgrade. We will not hard-stop your API calls due to plan limits — only budget limits you configure yourself can trigger hard stops.
5. Payment Terms
Pro and Enterprise plans are billed monthly. All fees are in US dollars and non-refundable except as required by law.
Payment is processed through Stripe. We do not store your credit card details.
If payment fails, we will attempt to collect 3 times over 7 days. After that, your account may be downgraded to the Free plan. Your data will be retained for 30 days before deletion of features exceeding Free plan limits.
6. Your Data
You retain all rights to your data. We do not claim ownership of any content you process through the Service.
You grant us a limited license to process your data solely for providing the Service. This includes storing metadata, computing analytics, and enforcing policies.
We do not use your data to train AI models or for any purpose beyond providing the Service. See our Privacy Policy for full details.
You are responsible for ensuring your use of AI providers complies with their respective terms of service. Spendpol is a governance layer — we do not control or guarantee AI provider behavior.
7. API Keys & Provider Access
Provider API keys you store in Spendpol are encrypted at rest and used solely for proxying your requests. You are responsible for your API key usage and any costs incurred with AI providers.
Spendpol is not responsible for charges incurred with AI providers. Our cost tracking is based on token-level calculations and may have minor discrepancies with provider invoices. The chargeback reconciliation feature helps identify and resolve such discrepancies.
8. Acceptable Use
You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to bypass security controls, rate limits, or multi-tenancy isolation; (c) reverse-engineer, decompile, or disassemble the Service; (d) use the Service to send spam, phishing, or malware through AI providers; (e) resell or redistribute the Service without written permission.
We reserve the right to suspend accounts that violate these terms or that pose a security risk to the platform.
9. Self-Hosted Deployments
Enterprise customers may deploy Spendpol in their own infrastructure. Self-hosted deployments are governed by the Business Source License (BSL 1.1).
Self-hosted customers are responsible for infrastructure, backups, updates, and security patches. We provide documentation, Helm charts, and Terraform modules to assist.
License keys for self-hosted deployments are RSA-SHA256 signed and validated at startup. Tampering with or circumventing license verification is a violation of these terms.
10. Limitation of Liability
The Service is provided "as is" without warranties of any kind, express or implied. We do not guarantee that cost calculations, forecasts, or anomaly detection will be 100% accurate.
Our total liability is limited to the amount you paid for the Service in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
We are not liable for any costs, losses, or damages arising from AI provider outages, billing errors, or behavior beyond our control.
11. Termination
You may cancel your account at any time from the dashboard. Upon cancellation, your data will be retained for 30 days and then permanently deleted.
We may terminate accounts that violate these terms with 7 days written notice, except in cases of security threats where immediate action may be necessary.
12. Governing Law
These terms are governed by the laws of the State of Delaware, USA. Any disputes will be resolved through binding arbitration in accordance with the AAA Commercial Arbitration Rules.
